Deviations in Ivo Intelligence

Deviations is a feature within Ivo Intelligence that automatically analyzes your repository of contracts and shows you how individual agreements compare to your standard positions. It helps legal teams quickly understand where they have been giving ground in negotiations, and by how much.

How it works

Ivo automatically groups contracts that it thinks are built from the same template into clusters, for example all your NDAs or all your SaaS vendor agreements. It then selects the most middle-ground contract from each cluster as the exemplar, representing your average negotiated position.

Every other contract in the cluster is then given a deviation score based on how far it sits from that exemplar. If the score is negative, that contract is more favorable than your average. If the score is positive, it is less favorable than your average.

To upload your own benchmark:

1. On app.ivo.ai, navigate to Intelligence > Deviations

2. Select Upload Benchmark in the top left

3. Upload your Benchmark document

4. Ivo will identify all documents built off of it.

What you can do with it

From app.ivo.ai, go to Intelligence and click Deviations. From here you can:

• See all your contract clusters and how each agreement within them compares to the standard

• Sort contracts by their deviation score to surface the ones that have strayed furthest from your typical positions

• Click into individual contracts to see a clause-by-clause breakdown of what is different and why
