Using the Review feature

The Review feature serves as a valuable tool for identifying risks and ensuring consistency within your legal team, as well as making suggestions for how contracts can be modified to satisfy the requirements that are expressed by your Review Items. By reviewing each item, Ivo can assist you in determining whether or not the Review requirement has been fulfilled, where the agreement addresses that requirement, and how the agreement can be modified to satisfy it.

Review lists are particularly useful when reviewing agreements on third-party paper. However, the Review feature can also be used for reviewing agreements on first-party paper if the counterparty creates redlines. In these instances, it serves as an efficient method for tracking and evaluating the counterparty's proposed revisions in comparison to your requirements.

To use the Review feature:

  1. Click the Review option in the Home Page

  2. Select the Playbook you'd like to use (or select No Playbook).

    Note: When selecting No Playbook, Ivo will only bring up Ivo Flags results which is anything the AI finds generally unfavorable to your party or non-market standard

  3. Ensure that Ivo has detected the correct party to represent.

  4. Decide whether you'd like to do a Standard Review (for the entire document) or Redline Review (counterparty's redlines only).

  5. If you'd like, you can add additional documents for Ivo to take into context during the Review. (e.g. a separate MSA if you are reviewing an Order Form)

  6. If you'd like, you can add Deal Context for Ivo Flags (e.g. This is an AI vendor, so pay special attention to IP provisions)

  7. If you'd like, you can toggle on Compare to Market so that Ivo Flags can better flag items that are non-market standard.

    Note: This information should auto-detect from the document, but you can click on the pencil icon if you need to edit.

  8. Click the Start button.

Ivo will inform you to what extent your requirement has been fulfilled by displaying a badge next to the checklist item that will show one of the following:

  • A light green badge mentioning Pass (if the requirement has been fulfilled).

  • A red badge mentioning Fail (if the requirement has not been fulfilled).

  • A yellow badge mentioning Partial (if the requirement has been partially fulfilled).

  • A gray badge mentioning N/A (if the requirement isn't applicable for the document).

  1. While the checklist items are specifically from your Playbook, you can also toggle to the Ivo Flags tab to see if there are any items outside of the scope of your Playbook that the AI deems generally unfavorable to your party.

You can click on any of the Checklist Items to see the following:

  • Requirement: Under the name of the Checklist item, you'll see your requirement from your playbook. This is the prompt that is given to the AI.

  • Explanation: An explanation for why it passed/failed/partially met the requirement within the specific document you're reviewing

  • Recommendation: A redline suggestion for modifying the contract to meet this specific requirement if it has a Fail or Partial result.

  • You can then use the following options within the Recommendation window:

    • Update Icon - Click on the Update Icon to modify the markup using a simple instruction.

    • History - See a history of your iterations to this recommendation during this session and revert to prior iterations if you choose.

    • Retry - Redraft the markup so it achieves your checklist requirement using different language.

    • Thumbs Down - Choose the thumbs down option to report any markups that don't appear accurate so our Engineering and Implementation teams can be made aware of them and help to improve future outputs.

5. You can also choose if you want to include an automatically generated Word comment by clicking on the toggle to the right of "Add Comment". This comment can be specified in your Playbook, otherwise it will be AI-generated to justify the change for the counterparty upon their review of the updated document. If you would like to provide instructions for the AI-generated comment, click the update icon.

6. If the markup and optional comment looks acceptable, you can then add them to the document by clicking on Apply.

6. If you would like to apply all of your Review recommendations simultaneously instead of individually, you can also click Apply changes at the bottom of the requirements list. Alternatively you can apply all Checklist items with comments by clicking on the ^ to the right of the Apply changes button and selecting Apply with comments.

Note: This option applies all standard positions without option for choosing fallbacks
